Non-Disclosure Agreement

At Linked Electronics, we are committed to protecting any confidential information of our clients. During our collaboration with clients, we will enter into a confidentiality agreement to safeguard the interests of both parties and prevent any disclosure of confidential information to third parties by either party during the collaboration or within the agreed-upon confidentiality period.

Purpose

The Parties intend to discuss and explore a potential business relationship or collaboration (the "Purpose") and, in connection with such discussions, may disclose certain confidential information to each other.

Definition of Confidential Information

"Confidential Information" refers to any non-public information, trade secrets, proprietary data, know-how, technical information, business plans, financial data, customer lists, marketing strategies, or any other information that is disclosed by the Disclosing Party to the Recipient, whether in writing, orally, or through any other means.

Obligations of the Recipient

  • Non-Disclosure: The Recipient agrees to maintain the confidentiality of the Confidential Information and not disclose it to any third party without the prior written consent of the Disclosing Party.
  • Non-Use: The Recipient agrees not to use the Confidential Information for any purpose other than the Purpose specified in this Agreement.
  • Standard of Care: The Recipient shall exercise reasonable care to protect the Confidential Information from unauthorized access, use, or disclosure, employing at least the same level of care as it uses to protect its own confidential information.
  • Limited Disclosure: The Recipient may disclose the Confidential Information to its employees, contractors, or advisors who have a need to know for the Purpose, provided they are bound by obligations of confidentiality similar to those in this Agreement.

Term and Termination

  • This Agreement shall remain in effect from the Effective Date until [Termination Date].
  • Either Party may terminate this Agreement by providing written notice to the other Party.
  • Upon termination, the Recipient shall promptly return or destroy all copies of the Confidential Information in its possession.

Remedies

  • In the event of a breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to seek injunctive relief and any other remedies available under applicable law.
  • The prevailing Party shall be entitled to recover reasonable attorney's fees and costs incurred in enforcing this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of China. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of China.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes any prior agreements or understandings, whether written or verbal.

Privacy Policy

At Linked Electronics, protecting the personal information you share with us is hugely important. We want you to be confident that your information is safe and secure with us, and understand how we collect, store, use, and disclose information about users of Linked Electronics.com. This policy applies to the site, along with related products and services offered by Linked Electronics that link to this policy.

What Personal Information We Collect
